These Terms govern the services provided by Lux Funnels LLC to the Client. By engaging our services, subscribing to our software, or accessing our website, you agree to be bound by these Terms. You must be at least 18 years old to use this service and confirm you have authority to bind the business entity you represent.
Access to the Lux Growth System, including CRM and pipeline management, marketing automation and workflows, AI Employee for automated client communications, LC Phone for calls and SMS/MMS messaging, email marketing, and appointment scheduling and reminders.
Done-for-you implementation and custom design services including custom website design and development, brand identity creation, Google Business Profile optimization, system setup and configuration, automation workflow development, and content creation and strategy.
Lux Funnels LLC provides infrastructure that can be configured to be HIPAA compliant. The Client is responsible for ensuring compliant staff use, obtaining necessary patient consents, and complying with HIPAA Privacy and Security Rules. A Business Associate Agreement (BAA) will be executed prior to processing any PHI where applicable.
Subscriptions are billed on the 1st of each month and renew automatically unless cancelled with proper notice. First-month payments are pro-rated if the subscription begins after the 10th of the month.
LC Phone, SMS/MMS, email sending, and AI Employee usage are billed through a prepaid wallet (minimum deposit $10), charged in real time at cost with no markup.
Custom builds require a one-time fee split 50% deposit before work begins and 50% upon completion. Fees are non-refundable once work commences.
A 3-day grace period applies to failed payments. Accounts unpaid after 5 days are suspended with a 10% late fee. Accounts unpaid after 30 days are permanently deleted.
Subscriptions auto-renew on the 1st of each month. Clients are responsible for keeping payment information current.
Requires 30 days written notice via email. Service continues (and is billed) through the notice period. Monthly fees are non-refundable.
Clients are responsible for payment for work completed up to cancellation. Deposits are non-refundable.
Account data is retained 30 days post-cancellation for export. Exportable: contact lists, conversation history, recorded calls, uploaded files. Not exportable: proprietary templates, automations, AI configurations, platform code.
Clients must provide timely feedback, approvals, and assets. Delays of more than 14 days may result in project pause, invoicing of remaining balance, or additional fees.
Delivered milestones are deemed accepted unless the Client notifies otherwise within 10 days. Revision requests after this window may incur additional fees.
The Client guarantees ownership or proper permissions for any assets provided, and indemnifies Lux Funnels LLC against claims arising from copyright issues.
Lux Funnels LLC uses AI tools including the Lux AI Assistant, automated chatbot responses, AI-generated content, and automated communications. Clients authorize this use and are responsible for periodically reviewing AI interactions. Lux Funnels does not guarantee 100% accuracy and recommends human oversight for critical communications.
Contact/client data, uploaded data, original content, communication history, and custom websites built as separate paid projects (owned upon full payment).
Pre-made funnel and email templates, custom graphics created within the CRM, AI training/knowledge base configurations, automation workflows, SMS campaigns, lead magnet templates, custom integrations, and platform infrastructure.
Standalone website projects are owned by the Client upon full payment. CRM templates, workflows, and automations remain proprietary to Lux Funnels LLC.
License to proprietary CRM assets is revoked immediately. Clients may not replicate, reverse-engineer, or transfer these assets. Custom websites purchased separately remain the Client’s property.
Clients are solely responsible for TCPA compliance on SMS/MMS/calls, including consent, opt-in records, and honoring opt-outs. Violations can result in fines up to $1,500 per message.
Clients must include accurate sender information, honest subject lines, a physical mailing address, and honor opt-out requests within 10 business days.
Spam, HIPAA/TCPA/CAN-SPAM violations, harassment, malware distribution, fraud, unauthorized data scraping, credential sharing, and unauthorized resale/redistribution are all prohibited.
Violations may result in immediate account suspension or termination without notice, loss of platform access and data, potential legal action, and no refund of fees paid.
Uptime goal of 99.9% without guarantee of uninterrupted service. Interruptions may occur due to maintenance, third-party outages, connectivity issues, or force majeure events.
Support available Monday-Friday, 10:00 AM – 4:00 PM Eastern Time, closed federal holidays. Email requests during business hours receive a response within 2 hours; emergencies within 24 hours.
The platform relies on third-party services (GoHighLevel, Twilio, email providers). Lux Funnels LLC is not responsible for outages, pricing changes, or interruptions caused by these providers.
Lux Funnels LLC is not liable for indirect, incidental, consequential, or special damages, lost profits, or data loss. Maximum liability is capped at fees paid in the preceding 3 months.
Once a project is delivered, Lux Funnels LLC is not responsible for issues caused by Client or third-party alterations. Diagnostic/repair work is billed separately at the standard hourly rate.
Clients are responsible for exporting and backing up their own critical data. Lux Funnels LLC is not responsible for data loss from missed export windows, accidental deletions, or third-party failures.
Collected data includes account information, payment information, usage data, and communications data, used to provide services, process payments, communicate with Clients, and provide support.
Industry-standard security measures are implemented, including encryption in transit and at rest, secure authentication, regular audits, and HIPAA-compliant infrastructure when a BAA is in place.
Clients must maintain credential confidentiality, use strong passwords, notify Lux Funnels of unauthorized access, and ensure team members follow security best practices.
The Lux Growth System is powered by GoHighLevel, a CRM and automation platform, customized and managed by Lux Funnels LLC.
LC Phone, SMS/MMS, email, and AI Employee usage costs are passed through at cost, billed separately via the prepaid wallet system.
Links to third-party tools such as GoHighLevel may be affiliate links, potentially earning Lux Funnels LLC a commission at no extra cost to the Client.
Access may be suspended or terminated immediately without notice for breach of Terms, non-payment, Acceptable Use Policy violations, fraud/illegal activity, or harm caused to the platform or other clients.
Platform access and asset licenses are revoked immediately. Clients have 30 days to export data. Outstanding balances remain due.
Sections on Copyright Indemnity, Data Ownership and IP, Acceptable Use Policy, Limitation of Liability, and Governing Law survive termination.
These Terms are governed by the laws of the State of Florida.
Legal actions must be brought exclusively in the state or federal courts of Pinellas County, Florida.
Parties agree to attempt good-faith negotiation before legal action. Disputes must be resolved individually; no class actions are permitted.
Lux Funnels LLC may modify these Terms at any time, updating the Effective Date, notifying active clients via email, and posting updates on the website. Continued use after notification constitutes acceptance.
These Terms, plus any individual service agreements, proposals, or invoices, form the entire agreement between the parties.
If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary while the rest remains in force.
Failure to enforce a provision is not a waiver of that or any other provision.
Clients may not assign or transfer these Terms without prior written consent; Lux Funnels LLC may do so at any time without notice.
Lux Funnels LLC is not liable for delays or failures due to circumstances beyond reasonable control, including acts of God, war, pandemics, or third-party service failures.
